Terms of Service

Last updated 10 September 2026

This document is issued in English only. English is the sole official and governing language. Any translation, summary, or oral explanation is for convenience and has no legal effect.

1. Binding agreement

These Terms of Service (“Terms”) form a legally binding agreement between you (the individual visiting the site, and the organisation you represent) and DataSynca, the operator of datasynca.com, www.datasynca.com, related properties, licence services, and the DataSynca software and services (together, “DataSynca”, “we”, “us”, or “our”).

By accessing or using the website, submitting a form, requesting a demo, downloading or evaluating software, activating or running a licence, or otherwise using any DataSynca material, you accept these Terms in full. If you do not agree, you must not access or use the website or any DataSynca software or materials.

If you use DataSynca on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, “you” includes the entity. If you lack that authority, you may not use the site or the software on the entity’s behalf, and you are personally responsible for unauthorised use.

2. Governing language

These Terms are issued solely in English. English is the only official and governing language. Any translation, summary, oral statement, or machine-generated version is for convenience only and has no legal effect. In case of any discrepancy, the English text on this page controls.

3. Definitions and interpretation

  • “Website” means datasynca.com, www.datasynca.com, and all marketing, legal, and public pages we operate on those hosts, excluding any private customer console that we have not expressly included.
  • “Software” means the DataSynca integration and automation platform, including all modules, connectors, documentation, APIs, licence keys, activation codes, tokens, and updates we supply.
  • “Materials” means the Website, Software, trademarks, logos, text, graphics, screenshots, videos, designs, and all other content we make available.
  • “Order” means a signed order form, quotation accepted in writing, licence schedule, or other written commercial contract between you and us.
  • Headings are for convenience only. “Including” means “including without limitation.” Words in the singular include the plural and vice versa.

4. No public offer; B2B only

The Website is informational. Nothing on it is an offer to sell, a binding quote, a consumer invitation, or a public cloud self-service contract. Prices, features, screenshots, and descriptions may change and may not match a particular deployment. A contract for Software or paid services exists only when we and you execute an Order, or when we issue a licence under these Terms and you activate or use it.

DataSynca is offered to businesses and public bodies, not to consumers. You confirm that you are acting for purposes relating to your trade, business, craft, or profession. Mandatory consumer-protection rules that cannot be disapplied by contract still apply only to the extent they mandatorily apply; they do not expand any licence or warranty we have not expressly given.

5. Relationship to an Order

If an Order exists, it governs the commercial engagement to the extent of conflict with these Terms. These Terms fill any gap the Order does not address. No Order reduces our ownership of intellectual property, our right to enforce licences, or the restrictions in Sections 8 to 12 unless the Order expressly and specifically amends the relevant clause, signed by us.

Purchase orders, vendor portals, or your standard terms that you send us are rejected and have no effect unless we counter-sign them. Clicking a vendor portal “accept” solely to receive a purchase order does not adopt your terms.

6. Website licence (very limited)

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable permission to view the Website for your internal evaluation of DataSynca as a prospective or actual business customer. No other licence is granted. All rights not expressly granted are reserved.

You may not, and you may not permit anyone to: copy, scrape, crawl, harvest, index for a competing product, reverse engineer, or create derivative works from the Website except to the limited extent mandatory law forbids that restriction; remove proprietary notices; frame or mirror the Website; use our marks without prior written consent; overload or attack our systems; bypass technical or licence controls; or use the Website for any unlawful, defamatory, or infringing purpose.

We may change, suspend, or discontinue the Website in whole or in part at any time, without notice and without liability.

7. Intellectual property — all rights reserved

The Materials are owned by DataSynca or its licensors and are protected by copyright, trademark, trade-secret, database, and other laws of Türkiye and other countries, and by international treaties. Except for the limited permissions in these Terms or an Order, no right, title, or interest is transferred to you. Software is licensed, not sold. You receive no ownership of source code, object code, schemas, models, training data, documentation, or residual knowledge.

“DataSynca” and the DataSynca logos and brand elements are our trademarks. You may not use them in a way that suggests sponsorship, endorsement, or a generic product name. All goodwill from any permitted use inures solely to us.

Third-party names on the Website, if any, are the property of their owners. The Website does not grant rights in third-party software or brands. Open-source or third-party components included in the Software, if any, are licensed to you only under their own licences, and only to the extent we distribute them to you. Those licences do not grant rights in our proprietary modules, marks, or documentation.

Any unauthorised use of the Materials is a material breach and may constitute infringement. We reserve all remedies, including injunction, damages, account of profits, delivery-up, and licence termination, without any obligation to give a prior cure period where the breach is not reasonably curable (including copying, reverse engineering, or disclosure of confidential materials).

8. Software licence and restrictions

If we grant you a licence to the Software, it is a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the Software solely: (a) for your internal business operations; (b) in the environment, domain, capacity, and term stated in the Order or licence record; and (c) in object-code or delivered form only. Evaluation or demo use, if granted, is solely for non-production assessment during the stated period, as-is, and ends automatically when the period ends unless an Order continues it.

You shall not, and shall not allow any third party to:

  • copy the Software except for a reasonable number of backup copies that retain all notices;
  • modify, translate, adapt, or create derivative works of the Software except to the limited extent an included open-source licence mandatorily permits it for that component alone;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, file formats, or non-public APIs, except to the limited extent mandatory law grants a non-waivable right and then only after written notice to us and only for the interoperable purpose that law allows;
  • remove, alter, or obscure proprietary notices, licence checks, or telemetry required for licence enforcement;
  • circumvent, disable, or interfere with licence keys, activation, domain binding, expiry, revocation, or phone-home controls;
  • rent, lease, lend, sell, sublicense, host for third parties as a commercial bureau, or use the Software to provide a competing integration, automation, iPaaS, EDI, API-gateway, or MCP product;
  • publish benchmarks or vulnerability details except as required by responsible-disclosure law, and in any event not without prior written notice giving us a reasonable opportunity to address a genuine security issue;
  • use the Software in violation of export, sanctions, or anti-corruption laws;
  • exceed seats, environments, domains, or other metrics in the Order or licence record.

We may audit licence compliance on reasonable notice, or require a written certification of use. If you are out of compliance, you will promptly pay the applicable fees and our reasonable audit costs, and we may suspend or revoke the licence.

9. Licence enforcement

The Software may periodically contact our licence service to validate entitlement. You must allow that communication unless an Order expressly provides an offline mode we have enabled. Failure to validate, expiry, revocation, churn, domain mismatch, or tampering may cause the Software to warn, restrict, or stop, including locking administrative access to a renewal page, according to the licence policy we have set. Those effects are contractual enforcement, not a penalty you may treat as our breach.

We may refuse, suspend, or revoke a licence immediately if we reasonably believe you are in breach, the licence was obtained by misrepresentation, continued use would infringe a third party, or law requires it. Fees already paid are non-refundable except as an Order expressly states or mandatory law requires.

10. Customer data, AI, and your responsibilities

You retain ownership of data you lawfully put into a dedicated DataSynca environment (“Customer Data”). You grant us a limited right to process Customer Data only as needed to provide contracted hosting or support that you request, to enforce these Terms, or to comply with law. We do not acquire ownership of Customer Data.

You are solely responsible for: the lawfulness of Customer Data; appropriate notices and legal bases for the individuals whose data you process; configuration of the environment, including AI providers you connect; review of any AI, mapping, or automation output before you rely on it; backup of Customer Data unless an Order expressly places backup on us; and your users’ acts. AI features may produce incorrect or incomplete results. We do not warrant that any output is accurate, unique, non-infringing, or fit for a regulated decision. You must not use the Software as the sole basis for decisions with legal or similarly significant effects on individuals without human review appropriate to the risk. Where you connect Google Workspace APIs through the Software, your and our use of Google user data is also subject to the Google API Services User Data Policy (including Limited Use) and to the Google Workspace APIs and Limited Use section of our Privacy Policy at https://datasynca.com/privacy.

You will not submit to the Website or to us (except under a separate NDA we sign) information that is a third party’s trade secret, special-category personal data, or payment-card data.

11. Feedback

If you provide ideas, suggestions, error reports, or other feedback, you grant DataSynca a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable licence to use, copy, modify, and commercialise that feedback for any purpose, without attribution or compensation. You waive any moral-rights claims to the extent waivable. Feedback is not confidential unless we agree otherwise in a signed NDA.

12. Contact form and submissions

If you submit a contact form or email, you represent that the information is accurate and that you are authorised to send it. You grant us a non-exclusive right to use the submission to respond, evaluate a commercial opportunity, and operate our business, as described in the Privacy Policy. Submissions are not confidential except to the extent a signed NDA applies. We have no duty to respond, to keep the Website available, or to enter an Order.

You must not submit unlawful, infringing, defamatory, or malicious content, or attempt to probe or overload our systems through the form. We may delete submissions and block senders without notice.

13. Confidentiality

Non-public information we disclose (including pricing, roadmaps, security details, licence mechanisms, and unpublished Software) is our confidential information. You will not disclose it to any third party and will use it only to evaluate or perform a relationship with us. Our confidential information remains our property. These duties last for five (5) years after disclosure, and indefinitely for trade secrets for so long as they remain trade secrets. A signed NDA, if any, prevails for its subject matter.

14. Fees, taxes, and no set-off

Fees are as stated in an Order. Unless the Order says otherwise, fees are exclusive of taxes, duties, and withholding; you pay those in addition or gross-up so that we receive the full net amount. Invoices are payable by the stated due date. Late amounts accrue interest at the higher of 1.5% per month or the maximum allowed by law, plus reasonable collection costs.

Fees are non-cancellable and non-refundable except as an Order expressly states or mandatory law requires. You may not set off, withhold, or recoup amounts against sums due to us.

15. Warranties disclaimed

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, MATERIALS, SOFTWARE, DEMOS, AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Website or Software will be uninterrupted, error-free, secure, or compatible with your systems; that defects will be corrected; or that content is complete or current. Website statements are not warranties. Any warranty that an Order expressly states is the exclusive warranty for that Order and is subject to the Order’s remedies and these limitations.

You assume all risk for your use of the Website and, except as an Order expressly allocates otherwise, for your use of the Software and of any AI or automation output.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATASYNCA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, BUSINESS, OR ANTICIPATED SAVINGS; OR FOR COST OF SUBSTITUTE SERVICES; WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, THESE TERMS, THE SOFTWARE, OR ANY RELATED MATTER IS LIMITED TO THE FEES YOU ACTUALLY PAID TO US FOR THE SOFTWARE OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM. IF YOU HAVE PAID NO SUCH FEES (INCLUDING WEBSITE-ONLY USE OR AN UNPAID EVALUATION), OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO ONE HUNDRED US DOLLARS (USD 100) OR THE MINIMUM AMOUNT THAT MANDATORY LAW ALLOWS TO BE AGREED, WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law, including (where such exclusion is prohibited) liability for wilful misconduct, fraud, or death or personal injury caused by negligence. That savings clause does not expand any licence, refund, or duty we have not expressly accepted, and the remaining limitations continue in full force.

Multiple claims will not enlarge the cap. You agree that these limitations are a reasonable allocation of risk and a fundamental basis of the bargain, including for free Website access.

17. Indemnity

You will indemnify, defend, and hold harmless DataSynca and its directors, officers, employees, agents, affiliates, and suppliers from and against all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Data or submissions; (b) your use of the Website or Software in breach of these Terms or law; (c) your combination of the Software with systems, data, or models we did not supply; (d) your users’ acts or omissions; (e) any allegation that Customer Data or your materials infringe or misappropriate a third-party right; and (f) taxes you are responsible for under Section 14.

We may assume exclusive defence of any matter subject to indemnity; you will cooperate at your cost. You will not settle a claim that admits fault by us or imposes a non-monetary obligation on us without our prior written consent.

18. High-risk use

The Software and Website are not designed for use in nuclear facilities, aircraft navigation, air-traffic control, life-support, or other environments where failure could cause death, personal injury, or severe physical or environmental damage. You assume all risk of any such use. We have no liability for it.

19. Export, sanctions, and anti-corruption

You will comply with all applicable export-control, sanctions, and anti-corruption laws. You represent that you are not a denied, blocked, or sanctioned party and are not located in a comprehensively sanctioned jurisdiction. You will not use or export the Software or Materials in violation of those laws. We may suspend performance immediately if we reasonably believe continued performance would violate them.

20. Term, suspension, and termination

These Terms apply from your first access to the Website or Software and continue until terminated. We may suspend or terminate your access to the Website at any time, for any reason or no reason, without notice or liability. A Software licence ends at the earliest of: expiry of the paid or evaluation term; revocation; material breach; or termination of the Order.

On termination you will stop using the Software and Materials, delete all copies except those you must keep under law (which remain subject to confidentiality and use restrictions), and certify deletion on request. Sections that by their nature should survive (including intellectual property, restrictions, feedback, fees owed, disclaimers, limitations, indemnity, confidentiality, export, governing law, and reservation of rights) survive termination.

21. Changes to these Terms

We may revise these Terms at any time by posting an updated version on this page and changing the “Last updated” date. The revised Terms bind you from posting, except that for an existing paid Order the Order’s change-control clause (if any) applies to fees and licence scope. Continued use of the Website after an update constitutes acceptance. If you do not agree, your only remedy is to stop using the Website and, where an Order allows, to stop using the Software at the end of the then-current committed term.

22. Governing law and disputes

These Terms, and any dispute, claim, or controversy arising out of or relating to them, the Website, the Software, or any non-contractual obligation connected with them, are governed by the substantive laws of the Republic of Türkiye, without regard to conflict-of-law rules and without regard to the United Nations Convention on Contracts for the International Sale of Goods, which is excluded.

The courts and enforcement offices of Istanbul, Türkiye have exclusive jurisdiction. You consent to that venue and waive any objection of inconvenient forum. We may still seek interim, injunctive, or IP-protection relief in any court of competent jurisdiction, including where you or the Software are located, without posting a bond to the extent law allows.

You must bring any claim within one (1) year after it accrued, or the shortest period mandatory law allows if longer, after which the claim is permanently barred. Mandatory rules on limitation periods that cannot be shortened still apply only to that extent.

23. General

  • Entire agreement. These Terms and any Order and Privacy Policy constitute the entire agreement for their subject matter and supersede all prior or contemporaneous proposals, websites, and discussions, except that a signed NDA remains in force for its subject.
  • Severability. If a provision is held unenforceable, it will be modified to the minimum extent required to make it enforceable. If modification is not possible, it will be severed. All other provisions remain in full force. A finding of unenforceability is not a licence grant or a waiver of our IP.
  • No waiver. Our failure to enforce a provision, or a delay in enforcement, is not a waiver. Any waiver must be in a writing signed by us and applies only to the instance stated.
  • Assignment. You may not assign or transfer these Terms or any licence without our prior written consent. Any attempted assignment in breach is void. We may assign these Terms and any licence rights to an affiliate or to a successor in connection with a merger, reorganisation, or sale of assets. These Terms bind permitted successors.
  • Relationship. The parties are independent contractors. These Terms create no partnership, joint venture, employment, or fiduciary relationship, and no third-party beneficiaries except our indemnified persons.
  • Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including infrastructure, internet, or supplier failures, labour disputes, epidemics, war, sanctions, or governmental acts.
  • Notices. Notices to us must be sent to [email protected] and, for legal process, to any address we designate. Notices to you may be posted on the Website or sent to an email you provided. Electronic notices are sufficient.
  • Evidence. Electronic records of licence status, logs, and website postings are prima facie evidence of their contents.
  • Construction. These Terms will not be construed against the drafter. You have had the opportunity to obtain independent legal advice.
  • Order of precedence. For a paid relationship: (1) the Order’s expressly negotiated clauses; (2) these Terms; (3) the Privacy Policy for personal-data processing; (4) Website marketing copy (which is not contractual).

24. Reservation of rights

EXCEPT FOR THE LIMITED PERMISSIONS EXPRESSLY STATED IN THESE TERMS OR AN ORDER, DATASYNCA RESERVES ALL RIGHTS, TITLE, AND INTEREST IN AND TO THE MATERIALS, SOFTWARE, TRADEMARKS, DOCUMENTATION, LICENCE SYSTEMS, AND ALL RELATED INTELLECTUAL PROPERTY, WORLDWIDE, IN ALL MEDIA, NOW KNOWN OR LATER DEVELOPED. NO IMPLIED LICENCE, ESTOPPEL, EXHAUSTION BEYOND MANDATORY LAW, OR WAIVER SHALL BE FOUND. ALL RIGHTS NOT EXPRESSLY GRANTED ARE RESERVED AND REMAIN OURS AT ALL TIMES, INCLUDING AFTER TERMINATION, EXPIRY, OR NON-RENEWAL.
